Part I: Governance & General Terms
Section 1: Introduction & Purpose
Welcome to AYe Producer ("Platform," "we," "us," or "our"). AYe Producer is an AI-powered creative development platform designed to help writers and creative professionals develop story ideas, create production-ready story packages, license creative works, and collaborate with other creatives.
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AYe Producer governing your access to and use of our platform, including all features, content, and services offered.
Effective Date: These Terms are effective as of January 1, 2026, and apply to all users who access or use the Platform after this date.
Acceptance: By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
Section 2: Definitions
The following definitions apply throughout these Terms:
- "Creator" means a User who creates, publishes, or sells content on the Platform, including Story Packs and job postings.
- "Freelancer" means a User who applies for jobs, provides creative services, or works on projects posted by Creators.
- "Story Pack" or "Production Pack" means a collection of creative assets including but not limited to story concepts, characters, outlines, worldbuilding elements, and related materials packaged for licensing or sale.
- "License" means a grant of permission to use creative work under specified terms without transferring ownership.
- "Option" means a time-limited exclusive right to negotiate for or develop a creative work.
- "Purchase" means a complete transfer of ownership rights from Creator to buyer.
- "Escrow" means funds held securely by our payment processor pending completion of agreed-upon work or transaction.
- "Story Exchange" means the marketplace section of the Platform where Story Packs are listed for licensing or purchase.
- "Job Board" means the section of the Platform where Creators post job opportunities and Freelancers apply for work.
- "NDA" or "Non-Disclosure Agreement" means a confidentiality agreement protecting unpublished creative content.
- "Authorized User" means a colleague designated by an NDA signer who is granted access to NDA-protected content under the terms of the original signer's agreement. Authorized Users are limited to five (5) per NDA and must be directly involved in evaluating the protected content.
- "Content Access Tier" means a level of content visibility based on a user's relationship with the content, including Public, Logged-In, NDA, and Purchased tiers.
- "Contract" means a legally binding agreement between a Creator and Freelancer for the provision of services.
- "Medium" means a specific format or channel for creative work, including Film, Television, Streaming, Theatre, Audio/Podcast, Print/Publishing, Gaming/Interactive, and Merchandise.
- "AI-Generated Content" means any content created with assistance from the Platform's artificial intelligence tools.
- "Team" means a group of Users operating under a shared Team subscription.
- "Workspace" means a dedicated area for developing and organizing story content.
- "Platform Fee" means the percentage charged by AYe Producer on transactions.
- "The AYe List" means the Platform's audience validation system through which AYe List Members evaluate Story Packs by casting Votes to determine audience interest and market viability.
- "AYe List Member" means a registered User who participates in The AYe List by voting on Story Packs. AYe List Members are classified as either standard members or Industry Insiders.
- "Industry Insider" means an AYe List Member whose professional credentials in entertainment, film, television, publishing, or related industries have been verified by the Platform, granting access to enhanced features and weighted voting privileges.
- "Founding Insider" means one of the first two hundred (200) Industry Insiders to complete verification on the Platform, who is granted lifetime access to Insider features at no additional cost.
- "Studio Tier" means a premium subscription level designed for entertainment companies, studios, production houses, and industry professionals, providing access to advanced analytics, validated Story Pack data, and enterprise features.
- "Validation" or "Vote" means an AYe List Member's formal assessment of a Story Pack, expressed as "Nay" (negative assessment), "Aye" (positive assessment), or "Star" (exceptional assessment indicating strong commercial interest).
- "Development Status" means the lifecycle stage of a Story Pack, comprising four categories: Available (open for transactions), Under Contract (licensed, optioned, or purchased), In Development (actively being developed for production), or In Production (currently in active production).
- "Badge" means a digital recognition or achievement indicator awarded to Users for accomplishments, milestones, or contributions on the Platform.
- "Introduction Request" means a formal request submitted by an Industry Insider through the Platform to be introduced to or connected with a Creator whose Story Pack the Insider has evaluated.
Section 3: Eligibility & Jurisdiction
3.1 Age Requirement
You must be at least eighteen (18) years of age to create an account and use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. Users who engage in financial transactions (buying, selling, or contracting) must be of legal age to enter into binding contracts in their jurisdiction.
3.2 Legal Capacity
You represent that you have the legal capacity and authority to enter into these Terms and to perform your obligations hereunder. If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these Terms.
3.3 Geographic Restrictions
The Platform is available to users worldwide, subject to applicable laws and regulations. You are responsible for compliance with all local laws regarding online conduct and acceptable content. We reserve the right to restrict access from certain jurisdictions where Platform use would violate local laws.
3.4 Compliance with Laws
You agree to comply with all applicable local, state, national, and international laws, regulations, and conventions when using the Platform, including but not limited to laws regarding intellectual property, data privacy, financial transactions, and online conduct.
Section 4: Account Registration & Security
4.1 Account Creation
To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
4.2 Account Credentials
You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to immediately notify us of any unauthorized use of your account or any other breach of security.
4.3 Account Responsibility
You are solely responsible for all activities that occur under your account, whether or not authorized by you. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4.4 Account Sharing
Unless you have a Team subscription, your account is for your individual use only. You may not share your account credentials with others or allow others to access your account. Team accounts must be managed according to the Team subscription terms.
4.5 One Account Per User
Each individual may maintain only one account. Creating multiple accounts to circumvent Platform rules, manipulate ratings, or gain unfair advantages is prohibited and grounds for immediate termination.
Section 5: Platform Role & Relationship Disclaimer
5.1 Facilitator Role
AYe Producer serves as a platform that facilitates connections and transactions between Creators and Freelancers, and between sellers and buyers of creative content. We are not a party to any transaction, contract, or agreement between Users.
5.2 No Employment Relationship
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between AYe Producer and any User, or between Users themselves unless explicitly agreed in writing between Users.
5.3 Independent Contractors
Freelancers who provide services through the Platform are independent contractors, not employees of either AYe Producer or the Creators who hire them. Each Freelancer is solely responsible for determining how, when, and where to perform services, subject to contractual obligations.
5.4 No Endorsement
The inclusion of any User, Story Pack, job listing, or content on the Platform does not constitute an endorsement or recommendation by AYe Producer. We do not verify the accuracy, quality, or legality of User content or the qualifications of Users.
5.5 User Disputes
While we provide dispute resolution mechanisms for certain transaction types, we are not obligated to resolve disputes between Users. Users are ultimately responsible for resolving their own disputes, and our dispute resolution process is provided as a convenience.
Part II: Content & Intellectual Property
Section 6: User-Generated Content Ownership
6.1 Retention of Ownership
You retain full ownership of all original content you create and upload to the Platform, including but not limited to stories, characters, ideas, outlines, worldbuilding elements, and related creative materials ("User Content"). Nothing in these Terms transfers ownership of your User Content to AYe Producer.
6.2 Rights to Your Work
Subject to the license granted to AYe Producer in Section 7, you retain all copyright, trademark, and other intellectual property rights in your User Content. You may continue to use, license, sell, or transfer your User Content outside the Platform.
6.3 Moral Rights
To the extent permitted by applicable law, you waive any moral rights you may have in User Content uploaded to the Platform, including rights of attribution and integrity, solely to the extent necessary for AYe Producer to provide the Platform services. This waiver does not affect your moral rights in dealings with third parties.
6.4 Responsibility for Content
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you own or have the necessary rights, licenses, and permissions to use and authorize the use of your User Content as contemplated by these Terms.
Section 7: Platform License to Display Content
7.1 Grant of License
By uploading or submitting User Content to the Platform, you grant AYe Producer a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content solely for the purpose of operating, promoting, and improving the Platform.
7.2 Purpose of License
This license is necessary for us to display your content to other Users, enable search functionality, create thumbnails and previews, provide backup and disaster recovery, and otherwise operate the Platform. We will not sell your User Content or use it in ways unrelated to Platform operations without your explicit consent.
7.3 Marketing and Promotion
We may use your User Content in marketing materials to promote the Platform, including featuring successful projects, testimonials, or examples of Platform capabilities. If you do not wish your content to be used for marketing, you may opt out by contacting us.
7.4 License Termination
The license granted in Section 7.1 terminates when you delete your User Content from the Platform or when your account is terminated, except that: (a) licenses granted to other Users through transactions remain in effect according to their terms; (b) we may retain backup copies for a reasonable period; and (c) content that has been shared or distributed may remain in the possession of recipients.
Section 8: AI-Generated Content
8.1 AI as a Tool
The Platform provides AI-powered tools to assist with creative development, including story idea generation, character development, worldbuilding, and content suggestions. AI functions as a tool to assist your creativity, not as an author or creator.
8.2 Human Input Required
Under current intellectual property law, purely AI-generated content without significant human creative input may not be eligible for copyright protection. You are responsible for adding meaningful human creativity to any AI-assisted content to establish and maintain copyright protection.
8.3 No Guarantee of Accuracy
AI-generated suggestions, ideas, and content are provided "as is" without any guarantee of accuracy, originality, or suitability for any purpose. AI may produce content that is incorrect, incomplete, inappropriate, or similar to existing works.
8.4 Review Responsibility
You are solely responsible for reviewing, editing, and verifying all AI-generated content before use. AYe Producer is not liable for any consequences arising from your use of AI-generated content, including claims of copyright infringement, defamation, or inaccuracy.
8.5 AI Usage Limits
AI features are subject to usage limits based on your subscription tier. Exceeding these limits may result in temporary restriction of AI features or require upgrade to a higher tier.
Section 9: Third-Party Intellectual Property
9.1 Prohibition on Infringement
You may not upload, post, or transmit any content that infringes upon the copyright, trademark, patent, trade secret, or other intellectual property rights of any third party.
9.2 User Warranties
By uploading content, you warrant that: (a) you are the creator and owner of the content, or (b) you have obtained all necessary permissions, licenses, and clearances to use and authorize the use of the content on the Platform.
9.3 Clearances and Permissions
If your content includes any third-party materials (such as images, music, quotes, or other copyrighted elements), you are solely responsible for obtaining and maintaining all necessary clearances and permissions.
9.4 Right to Remove
We reserve the right to remove any content that we believe, in our sole discretion, may infringe upon third-party intellectual property rights. We are not obligated to investigate or verify ownership claims but may take action upon receiving credible notices of infringement.
9.5 Repeat Infringer Policy
We maintain a repeat infringer policy. Users who repeatedly upload infringing content or receive multiple valid DMCA notices may have their accounts suspended or terminated.
Part III: Marketplace & Transactions
Section 10: Story Pack Creation & Publishing
10.1 Listing Requirements
When creating a Story Pack for listing on the Story Exchange, you must provide accurate and complete information about your content, including title, description, genre, included assets, and pricing.
10.2 Content Accuracy
You warrant that all information provided in your Story Pack listing is accurate and not misleading. Misrepresentation of content may result in transaction disputes, refunds, and account penalties.
10.3 Approval Process
Story Packs may be subject to review before publication. We reserve the right to reject or remove any Story Pack that violates these Terms, contains prohibited content, or fails to meet quality standards.
10.4 Distribution Mode
You may choose to distribute your Story Pack through the Story Exchange (for licensing/purchase), the Job Board (for crew recruitment), or both. Each distribution mode is subject to its respective terms.
10.5 Pack Assets
You are responsible for ensuring that all assets included in your Story Pack are owned by you or properly licensed for inclusion and distribution.
Section 11: Story Exchange - Licensing Transactions
11.1 Transaction Types
The Story Exchange offers three types of transactions:
- License: A grant of permission to use the creative work under specified terms. The Creator retains ownership, and the buyer receives rights to use the work for specified purposes and mediums.
- Option: A time-limited exclusive right to negotiate for or develop the creative work. During the option period, the Creator cannot license or sell the work to others. Options expire if not exercised within the specified timeframe.
- Purchase: A complete transfer of all rights, title, and interest in the creative work from Creator to buyer. Upon purchase, the buyer becomes the owner with full rights to use, modify, and further license the work.
11.2 Binding Nature
All transactions on the Story Exchange are legally binding once confirmed. Buyers commit to pay the agreed price, and Creators commit to deliver the specified rights and assets.
11.3 Delivery Obligations
Upon successful transaction, Creators must provide access to all promised materials and execute any necessary documentation to effectuate the transfer of rights.
11.4 Option Expiration
Option agreements expire at the end of the specified period. Upon expiration, all rights revert to the Creator, and the option holder has no further claims to the work unless the option is renewed by mutual agreement.
11.5 Tiered Content Access
Story Pack content visibility is controlled through a tiered access system. Each tier provides progressively more access to protected creative materials:
- Public: Basic information visible to all visitors, including title, genre, and logline.
- Logged-In: Additional summary details visible to registered and authenticated users.
- NDA: Protected content accessible only after signing a Non-Disclosure Agreement, including full synopsis, character profiles, worldbuilding details, mood boards, and pitch deck materials.
- Purchased: Complete content accessible only after completing a transaction, including scripts, storylines, budget details, and Creator contact information.
Content visibility is determined by the highest applicable tier. Creators configure which content elements appear at each tier when creating their Story Pack listings.
Section 12: Medium-Specific Rights
12.1 Available Mediums
Rights may be licensed for specific mediums including:
- Film: Theatrical motion picture exhibition
- Television: Broadcast and cable television
- Streaming: Digital streaming platforms (Netflix, Amazon, etc.)
- Theatre: Live stage performance
- Audio/Podcast: Audio productions and podcasts
- Print/Publishing: Books, graphic novels, and print publications
- Gaming/Interactive: Video games and interactive media
- Merchandise: Merchandise and consumer products
12.2 Medium Scope
A license for one medium does not automatically include rights to other mediums unless explicitly stated. Each medium requires separate licensing or a bundled all-rights package.
12.3 Exclusivity
Medium-specific licenses may be exclusive (Creator cannot license to others for that medium) or non-exclusive (Creator may license to multiple parties). The exclusivity status is specified in the transaction terms.
12.4 Territory
Rights may be limited to specific geographic territories or may be worldwide. The territorial scope is specified in the transaction terms.
Section 13: Pricing & Transaction Accuracy
13.1 Setting Prices
Creators are solely responsible for setting prices for their Story Packs. AYe Producer does not control or regulate pricing.
13.2 Currency
All prices and transactions on the Platform are in United States Dollars (USD) unless otherwise specified.
13.3 Price Binding
Once a transaction is initiated, the price at that time is binding on both parties. Subsequent price changes do not affect pending or completed transactions.
13.4 Platform Fees
Platform fees are automatically calculated and deducted from transaction proceeds. Current fee structure is: Free tier (15%), Pro tier (10%), Pro+ tier (7%), Team tier (5%). Fees are subject to change with notice.
Part IV: Job Board & Collaboration
Section 14: Job Posting & Applications
14.1 Creator Obligations
When posting a job, Creators must provide accurate information about the project, required skills, compensation, timeline, and any other material terms. Misleading job postings are prohibited.
14.2 Freelancer Obligations
When applying for jobs, Freelancers must accurately represent their skills, experience, and availability. Misrepresentation in applications may result in contract termination and account penalties.
14.3 Application Process
The application process includes submission, review, shortlisting, acceptance, contract creation, and work commencement. Not all applications will be accepted, and Creators have sole discretion in hiring decisions.
14.4 No Guarantee of Work
AYe Producer does not guarantee that Freelancers will receive job offers or that Creators will receive suitable applications.
Section 15: Contracts & E-Signatures
15.1 Contract Generation
The Platform provides tools to generate contracts between Creators and Freelancers. These contracts are between the Users, not with AYe Producer.
15.2 Electronic Signatures
By electronically signing a contract on the Platform, you agree that your electronic signature is legally binding and equivalent to a handwritten signature under applicable electronic signature laws (including the ESIGN Act and UETA).
15.3 Contract Enforceability
Contracts formed through the Platform are intended to be legally enforceable agreements. Users are responsible for ensuring their contracts comply with applicable laws and include all necessary terms.
15.4 Contract Disputes
While we provide dispute resolution for escrow-related issues, disputes regarding contract interpretation or performance are between the contracting parties. Users may need to seek legal remedies outside the Platform.
Section 16: NDA & Confidentiality
16.1 Legally Binding NDAs
Non-Disclosure Agreements accepted through the Platform are legally binding contracts. By accepting an NDA, you agree to keep specified information confidential according to the NDA terms.
16.2 Standard NDA Terms
When a Creator requires an NDA, the Platform provides standard NDA terms that cover confidential story details, character information, plot elements, and other creative materials shared during the application or work process.
16.3 Duration of Confidentiality
Confidentiality obligations typically extend beyond the termination of any contract or working relationship, as specified in the NDA terms. Obligations may be perpetual for certain types of trade secret information.
16.4 Permitted Disclosures
NDAs may include exceptions for information that: (a) is or becomes publicly available through no fault of the recipient; (b) was already known to the recipient; (c) is independently developed; (d) is disclosed pursuant to court order or legal requirement.
16.5 Breach Consequences
Breach of an NDA may result in legal liability for damages, injunctive relief, and Platform penalties including account termination. AYe Producer is not responsible for enforcing NDAs between Users but may take action against Users who demonstrate patterns of NDA violations.
16.6 NDA Team Sharing
The Platform allows NDA signers to grant access to NDA-protected content to Authorized Users under the following conditions:
- NDA signers may designate up to five (5) Authorized Users who are colleagues directly involved in evaluating the protected content.
- The original signer remains fully responsible for the compliance of all Authorized Users with the NDA terms.
- Authorized Users are bound by the same confidentiality obligations as the original signer.
- The signer may revoke an Authorized User's access at any time through the Platform.
- Authorized User access expires automatically when the underlying NDA expires or is revoked.
- The Creator retains the right to prohibit team sharing for specific Story Packs.
16.7 NDA Expiration & Renewal
NDAs on the Platform are subject to the following expiration and renewal policies:
- NDAs have a defined expiration period as specified in the NDA terms, typically ranging from 30 days to 2 years.
- The Platform will send notification reminders when an NDA is approaching expiration (typically 5 days before expiration).
- Upon expiration, access to NDA-protected content is automatically revoked.
- Users may request NDA renewal, subject to Creator approval.
- Confidentiality obligations may survive NDA expiration as specified in the NDA terms.
16.8 NDA Revocation
Creators may revoke NDA access at any time for any reason, including but not limited to:
- Suspected breach of confidentiality obligations.
- Completion of the evaluation period or transaction.
- Changes to the Story Pack status or availability.
- Any other legitimate business reason.
Upon revocation, the User's access to NDA-protected content is immediately terminated. Revocation does not affect confidentiality obligations, which survive revocation as specified in the NDA terms.
16.9 Access Logging & Audit Trail
To ensure compliance and protect intellectual property, the Platform maintains access logs for NDA-protected content:
- All access to NDA-protected content is logged, including the identity of the accessor (signer or Authorized User), timestamp, and masked IP address.
- Creators may view access logs for their Story Packs to monitor compliance.
- Access logs are retained for a minimum of 3 years for legal and compliance purposes.
- In the event of a suspected breach, access logs may be used as evidence in legal proceedings.
- Users consent to this access logging by signing an NDA or being designated as an Authorized User.
Section 17: Team Collaboration & IP Attribution
17.1 Team Accounts
Team subscriptions allow multiple Users to collaborate under a shared account with designated roles and permissions.
17.2 Team Ownership
Content created within a Team account belongs to the Team (or the organization associated with the Team account) unless otherwise agreed in writing among Team members.
17.3 Member Contributions
Team members should establish clear agreements regarding contribution ownership, attribution, and compensation. AYe Producer is not responsible for disputes among Team members regarding intellectual property ownership.
17.4 Team Dissolution
Upon Team account termination, the Team administrator is responsible for determining distribution of Team content. Absent agreement, content remains with the Team account owner.
Section 18: Reviews & Ratings
18.1 Two-Way Reviews
The Platform provides a two-way review system where Creators and Freelancers can review each other after job completion.
18.2 Honest Reviews
Reviews must be honest, fair, and based on actual experience. False, misleading, or defamatory reviews are prohibited.
18.3 Prohibited Review Content
Reviews may not contain: personal attacks; discriminatory language; confidential information; advertising or spam; false statements; threats or harassment.
18.4 Review Moderation
We reserve the right to remove reviews that violate these Terms or our community guidelines. Removal of reviews is at our sole discretion.
18.5 No Incentivized Reviews
Users may not offer or accept payment or other incentives in exchange for positive reviews or removal of negative reviews.
Part V: The AYe List
Section 19: AYe List Overview & Purpose
19.1 Purpose of The AYe List
The AYe List is the Platform's audience validation system designed to provide Creators with market feedback on their Story Packs and to assist industry professionals in identifying commercially viable creative content. The AYe List enables registered Users to evaluate Story Packs through a structured voting mechanism.
19.2 Validation Function
The AYe List serves as a market validation tool, aggregating audience opinions to generate metrics that indicate potential commercial interest in Story Packs. Validation data is intended to assist Creators in understanding audience reception and to help industry professionals identify content with demonstrated appeal.
19.3 No Guarantee of Success
Participation in The AYe List does not guarantee commercial success, industry interest, or any particular outcome for a Story Pack. Validation metrics are indicators of audience interest at a point in time and should not be construed as predictions of future performance or suitability for any particular purpose.
19.4 Platform Discretion
AYe Producer reserves the right to modify, suspend, or discontinue The AYe List or any of its features at any time, with or without notice. We may also adjust validation algorithms, scoring methodologies, and display criteria as we deem appropriate.
Section 20: AYe List Membership
20.1 Eligibility
Any registered User in good standing may participate in The AYe List. Participation requires acceptance of these Terms and compliance with all applicable community guidelines.
20.2 Registration
Users may join The AYe List through the designated registration process. Registration may require additional profile information, including demographic data used for aggregated analytics.
20.3 Types of Members
The AYe List comprises two categories of members:
- Standard Members: Registered Users who participate in voting on Story Packs and receive standard voting privileges.
- Industry Insiders: Members whose professional credentials in entertainment, film, television, publishing, or related industries have been verified by the Platform, granting access to enhanced features and weighted voting privileges as described in Section 22.
20.4 Member Responsibilities
AYe List Members agree to: (a) vote honestly and in good faith based on their genuine assessment of Story Pack content; (b) comply with all community guidelines; (c) refrain from manipulating or attempting to manipulate validation outcomes; and (d) maintain the confidentiality of any NDA-protected content accessed through The AYe List.
Section 21: Voting System
21.1 Vote Types
AYe List Members may cast the following types of Votes:
- "Nay": A negative assessment indicating the Member does not believe the Story Pack has strong commercial potential or audience appeal.
- "Aye": A positive assessment indicating the Member believes the Story Pack has commercial potential or audience appeal.
- "Star": An exceptional assessment indicating the Member believes the Story Pack has outstanding commercial potential and would actively recommend it to industry contacts. Star votes carry additional weight in validation scoring.
21.2 Vote Weights
Votes are weighted according to the following factors:
- Industry Insider votes carry greater weight than standard member votes in validation calculations.
- Star votes carry greater weight than Aye votes.
- The specific weighting algorithms are proprietary and may be adjusted by the Platform at any time.
21.3 Daily Voting Limits
To maintain voting integrity and encourage thoughtful evaluation, Members are subject to daily voting limits. Standard Members and Industry Insiders may have different daily limits. Current limits are displayed in the Platform interface and are subject to change.
21.4 Vote Finality
Votes may be changed within a limited time period after casting (as specified in the Platform interface). After this period, votes become final. Exceptions may be made at the Platform's sole discretion in cases of demonstrated technical error.
21.5 Voting Requirements
Members must review sufficient Story Pack content to form a reasonable assessment before voting. Voting without adequate review, pattern voting, or automated voting is prohibited and may result in enforcement action.
Section 22: Industry Insiders
22.1 Verification Requirements
To qualify as an Industry Insider, a Member must demonstrate current or recent professional experience in entertainment, film, television, publishing, or related industries. Verification may require submission of:

22.2 Verification Process
Industry Insider verification is conducted by the Platform and may take up to fourteen (14) business days. The Platform reserves sole discretion in approving or denying Industry Insider status. Denial decisions may be appealed within thirty (30) days.
22.3 Insider Privileges
Verified Industry Insiders receive the following privileges:
- Weighted voting influence in validation scoring
- Ability to provide detailed written feedback to Creators
- Access to submit Introduction Requests to connect with Creators
- Enhanced profile visibility indicating verified professional status
- Priority access to certain Platform features
22.4 Feedback Privileges
Industry Insiders may provide written feedback on Story Packs they evaluate. Feedback must be professional, constructive, and relevant to the creative content. Feedback that is abusive, discriminatory, or otherwise violates community guidelines is prohibited.
22.5 Introduction Request System
Industry Insiders may submit Introduction Requests to be connected with Creators whose Story Packs they have evaluated. Creators are under no obligation to accept Introduction Requests. The Platform facilitates introductions but is not a party to any resulting discussions or agreements.
22.6 Insider Responsibilities
Industry Insiders agree to: (a) maintain accurate and current professional credentials; (b) vote and provide feedback in their professional capacity; (c) disclose any conflicts of interest; (d) maintain strict confidentiality of NDA-protected content; and (e) represent their organizations professionally.
22.7 Revocation of Insider Status
The Platform may revoke Industry Insider status at any time for: violation of these Terms; misrepresentation of credentials; abuse of Insider privileges; patterns of unprofessional conduct; or cessation of industry engagement. Revocation may be appealed within thirty (30) days.
Section 23: Founding Insider Program
23.1 Founding Insider Status
The first two hundred (200) Industry Insiders to complete verification on the Platform shall be designated as "Founding Insiders" and granted lifetime access to Industry Insider features at no additional cost.
23.2 Lifetime Access
Founding Insider status includes perpetual access to all Industry Insider privileges described in Section 22.3, regardless of any future subscription or pricing changes that may apply to Industry Insider features.
23.3 Non-Transferable
Founding Insider status is personal to the individual who earned it and is non-transferable. Founding Insider status cannot be sold, assigned, gifted, or transferred to any other person or entity under any circumstances.
23.4 Eligibility Determination
Founding Insider status is determined solely by the order in which Industry Insider verification is completed. The Platform's records are conclusive in determining eligibility.
23.5 Continued Compliance
Founding Insiders remain subject to all Terms, community guidelines, and Insider responsibilities. Violation of these Terms may result in revocation of Founding Insider status and associated privileges.
Section 24: Badges & Recognition
24.1 Badge System
The Platform awards Badges to Users for achievements, milestones, and contributions. Badges are digital recognitions displayed on User profiles and serve to indicate experience, expertise, and Platform engagement.
24.2 Badge Criteria
Badges are awarded based on objective criteria established by the Platform, which may include:
- Voting participation and consistency
- Quality of feedback provided
- Successful Story Pack validations
- Industry Insider verification
- Founding Insider status
- Platform tenure and engagement
- Community contributions
24.3 Badge Display
Users may display earned Badges on their profiles. Certain Badges may be automatically displayed while others may be optional. Users may not misrepresent their Badge status or create false badges.
24.4 Badge Revocation
The Platform may revoke Badges if: (a) the criteria for the Badge are no longer met; (b) the Badge was awarded in error; (c) the User violates these Terms; or (d) the Badge is discontinued by the Platform.
24.5 No Monetary Value
Badges have no monetary value and cannot be sold, traded, or exchanged. Badges do not constitute property rights and may be modified or discontinued at the Platform's discretion.
Section 25: AYe List Community Guidelines
25.1 Respectful Participation
AYe List Members shall engage respectfully with all content and Users. Harassment, discrimination, abuse, and personal attacks are strictly prohibited in all AYe List activities, including voting, feedback, and communications.
25.2 Honest Voting
Members shall vote based solely on their honest assessment of Story Pack content. Votes must not be influenced by personal relationships with Creators, compensation, pressure, or any factor other than the Member's genuine evaluation.
25.3 Vote Manipulation Prohibition
The following activities constitute vote manipulation and are strictly prohibited:
- Coordinating with others to vote in a particular way
- Creating multiple accounts to cast additional votes
- Offering or accepting compensation for votes
- Using automated tools or scripts to cast votes
- Voting without reviewing the content
- Pattern voting designed to artificially inflate or deflate scores
25.4 Self-Voting Prohibition
Creators are strictly prohibited from voting on their own Story Packs. Creators may not use alternate accounts, proxies, or any other means to cast votes on their own content. Self-voting is a serious violation that may result in immediate account termination.
25.5 Conflict of Interest Disclosure
Members with a personal or professional relationship to a Creator or Story Pack should disclose such relationships. Members should abstain from voting on content where their objectivity may be compromised.
25.6 Confidentiality
Members shall maintain strict confidentiality of any NDA-protected content accessed through The AYe List. Voting activity and feedback provided to Creators is confidential and may not be publicly disclosed without the Creator's consent.
Section 26: Fraud Prevention & Enforcement
26.1 Fraud Detection
The Platform employs automated and manual systems to detect vote manipulation, coordinated attacks, and other fraudulent activities. These systems analyze voting patterns, account behavior, IP addresses, and other indicators.
26.2 Investigation
Upon detection of suspicious activity, the Platform may conduct an investigation, which may include review of voting records, account history, and related data. Users may be required to provide information or explanation during investigations.
26.3 Enforcement Actions
Violations of AYe List rules may result in the following enforcement actions, applied progressively or immediately depending on severity:
- Warning: A formal notice of the violation with instructions for compliance.
- Vote Removal: Removal of fraudulent or improper votes from validation calculations.
- Temporary Suspension: Temporary suspension of AYe List privileges for a specified period.
- Permanent Ban: Permanent removal of AYe List privileges.
- Account Termination: Complete termination of the User's Platform account.
26.4 Appeals
Users subject to enforcement actions may appeal within thirty (30) days by submitting a written appeal to support. Appeals are reviewed by a different team member than the original decision-maker. The Platform's decision on appeal is final.
26.5 Coordinated Attack Protection
The Platform may take protective measures against coordinated voting attacks, including temporary freezing of validation scores, removal of suspect votes, and notification to affected Creators.
Section 27: AYe List Data Sharing & Privacy
27.1 Data Shared with Creators
Creators receive access to the following data regarding their Story Packs:
- Aggregate vote counts and validation scores
- Aggregated demographic information about voters (age ranges, geographic regions, industry sectors)
- Industry Insider feedback (with Insider identity disclosed or anonymized based on Insider preference)
- Trend data showing validation performance over time
27.2 Demographic Aggregation
Individual voter identities are not disclosed to Creators except when Industry Insiders opt to identify themselves through feedback or Introduction Requests. Demographic data is aggregated to prevent identification of individual voters.
27.3 Voter Privacy
Standard Members' voting activity is anonymous to Creators. Members' individual votes are not disclosed to Creators or other Users. The Platform maintains voting records for internal purposes only.
27.4 Industry Insider Visibility
Industry Insiders may choose whether to provide feedback anonymously or with their identity disclosed. Introduction Requests necessarily disclose the Insider's identity to the Creator.
27.5 Data Retention
Voting data and validation metrics are retained for as long as the associated Story Pack remains on the Platform and for a reasonable period thereafter for archival and analytical purposes.
Part VI: Studio Tier & Enterprise Features
Section 28: Studio Tier Subscription
28.1 Eligibility
The Studio Tier subscription is designed for entertainment companies, production studios, production houses, talent agencies, management companies, and industry professionals seeking access to validated Story Pack data and advanced analytics. Eligibility may require verification of industry affiliation.
28.2 Features
Studio Tier subscribers receive access to:
- Studio Dashboard with advanced filtering and search capabilities
- Access to validated Story Packs with detailed validation metrics
- Demographic breakdowns of validation data
- Watchlist functionality for tracking Story Packs of interest
- Data export capabilities
- Quarterly Trends Reports
- Priority customer support
28.3 Pricing
Studio Tier pricing is as displayed on the Platform at the time of subscription. Pricing may vary based on organizational size, number of authorized users, and selected features. Enterprise pricing is available upon request.
28.4 Authorized Users
Studio Tier subscriptions may include multiple authorized users within the subscribing organization. The number of authorized users is specified in the subscription terms. Sharing credentials or extending access beyond authorized users is prohibited.
Section 29: Studio Dashboard Access
29.1 Validated Story Packs
The Studio Dashboard provides access to Story Packs that have achieved specified validation thresholds on The AYe List. Only Story Packs that Creators have opted to make available to Studio Tier subscribers are accessible.
29.2 Filtering & Search
Studio Tier subscribers may filter and search Story Packs by genre, validation score, demographic appeal, development status, medium, budget range, and other criteria as available.
29.3 Watchlists
Subscribers may create and maintain watchlists to track Story Packs of interest. Watchlist activity is private to the subscriber unless the subscriber initiates contact with a Creator.
29.4 Dashboard Accuracy
While we strive to maintain accurate and current information, the Platform does not guarantee the accuracy, completeness, or timeliness of all dashboard data. Validation metrics are point-in-time indicators and may change.
Section 30: Data Exports
30.1 Available Data
Studio Tier subscribers may export certain data, including:
- Story Pack metadata (title, genre, logline, validation scores)
- Aggregated demographic analytics
- Trend data and comparative analytics
- Watchlist contents
30.2 Export Restrictions
Exported data is for the subscriber's internal business purposes only. Data exports may not include:
- Individual voter identities or voting records
- NDA-protected content (unless separately authorized)
- Creator contact information (unless separately authorized)
- Proprietary validation algorithms or weighting factors
30.3 Confidentiality
Exported data is confidential and may not be shared with third parties, published, or used for any purpose other than internal evaluation of Story Packs for potential acquisition, licensing, or production.
Section 31: Trends Reports
31.1 Report Contents
Studio Tier subscribers receive quarterly Trends Reports containing:
- Market trends in Story Pack submissions and validations
- Genre performance analytics
- Demographic preference trends
- Comparative industry insights
- Emerging themes and content patterns
31.2 Demographic Data
Trends Reports include aggregated demographic data reflecting AYe List voting patterns. All demographic data is presented in aggregate form to protect individual privacy.
31.3 Report Accuracy
Trends Reports are based on Platform data and are provided for informational purposes only. The Platform does not guarantee the accuracy of trends analysis or predictive value of report contents.
31.4 Report Confidentiality
Trends Reports are confidential and provided exclusively to Studio Tier subscribers. Reports may not be shared, published, or distributed without the Platform's written consent.
Section 32: Studio Tier Usage Restrictions
32.1 Permitted Uses
Studio Tier access and data may be used solely for:
- Evaluation of Story Packs for potential acquisition, licensing, or production
- Internal market research and content strategy
- Identification of creative talent for potential engagement
32.2 Prohibited Uses
The following uses of Studio Tier access and data are prohibited:
- Redistribution, resale, or sublicensing of data or access
- Use of data to develop competing products or services
- Bulk data harvesting or automated scraping
- Use of data for purposes unrelated to content evaluation
- Any use that violates applicable privacy laws
32.3 Audit Rights
The Platform reserves the right to audit subscriber usage to ensure compliance with these Terms. Subscribers agree to cooperate with reasonable audit requests.
Part VII: Development Status Tracking
Section 33: Development Status Categories
33.1 Status Definitions
Each Story Pack has a Development Status indicating its current lifecycle stage:
- Available: The Story Pack is open for transactions including licensing, optioning, or purchase. The Creator has not entered into any exclusive arrangements that would preclude new transactions.
- Under Contract: The Story Pack has been licensed, optioned, or purchased through a completed transaction on the Platform. This status encompasses all transaction types, including non-exclusive licenses that may allow additional transactions.
- In Development: The Story Pack is actively being developed for production. Development activities may include screenplay writing, packaging, financing, or pre-production planning.
- In Production: The Story Pack is currently in active production, including principal photography, post-production, or other production activities.
33.2 Under Contract Scope
The "Under Contract" status applies to Story Packs that have completed any transaction through the Platform, including but not limited to:
- Exclusive or non-exclusive licenses for any medium
- Option agreements of any duration
- Outright purchases with full transfer of rights
33.3 Status Accuracy
Creators are responsible for maintaining accurate Development Status for their Story Packs. Misrepresentation of Development Status may result in account penalties and potential liability to affected parties.
Section 34: Status Updates
34.1 Automatic Status Changes
The Development Status automatically changes to "Under Contract" when any transaction (license, option, or purchase) is completed through the Platform. This automatic update occurs immediately upon transaction confirmation.
34.2 Manual Status Updates
Authorized parties may manually update Development Status in the following circumstances:
- Creator Updates: Creators may update status from "Under Contract" to "In Development" or "In Production" when appropriate milestones are reached.
- Buyer Updates: Parties who have acquired rights may update status to reflect development or production progress.
- Reversion to Available: When an option expires unexercised or a license terminates, the Creator may update status back to "Available."
34.3 Authorization
Only authorized parties may update Development Status. The Creator retains update authority unless rights have been fully transferred through purchase. Buyers receive update authority commensurate with their acquired rights.
34.4 Status History
The Platform maintains a history of Development Status changes for each Story Pack. This history is visible to the Creator and authorized parties and may be used to verify the Story Pack's transaction history.
Section 35: Development Status Visibility & NDA Protection
35.1 Default Visibility
By default, Development Status is visible to all Users who can view the Story Pack. This includes display on the Story Pack detail page, in search results, and in the Studio Dashboard.
35.2 NDA Protection Option
Creators may elect to protect Development Status visibility behind NDA requirements. When NDA protection is enabled:
- Only Users who have signed the applicable NDA may view the current Development Status.
- Public and logged-in views will display "Status Protected" or similar indicator.
- Studio Tier subscribers must sign the NDA to view protected status information.
35.3 Confidentiality of Transactions
While Development Status may indicate that a transaction has occurred, specific transaction details (buyer identity, transaction terms, purchase price) remain confidential unless the parties agree to disclosure.
35.4 Industry Sensitivity
The Platform recognizes that development and production information may be commercially sensitive. Creators and rights holders should carefully consider visibility settings based on their business needs and industry practices.
Section 36: Development Status Notifications
36.1 Creator Notifications
Creators receive notifications when their Story Pack's Development Status changes, whether through automatic triggers or manual updates by authorized parties.
36.2 Watchlist Notifications
Studio Tier subscribers who have added a Story Pack to their watchlist receive notifications when the Story Pack's Development Status changes, subject to visibility permissions.
36.3 AYe List Impact
AYe List Members who have previously voted on a Story Pack may receive notifications when the Story Pack's status changes to "Under Contract," "In Development," or "In Production," indicating successful progression.
36.4 Notification Preferences
Users may configure their notification preferences to control which Development Status updates they receive. Certain critical notifications may not be disabled.
Part IX: Financial Terms
Section 38: Subscriptions & Billing
38.1 Subscription Tiers
AYe Producer offers the following subscription tiers:
- Free: Basic features with limited AI usage
- Pro ($29/month): Enhanced features, increased AI limits, 10% platform fee
- Pro+ ($49/month): Premium features, higher AI limits, 7% platform fee
- Team ($99/month): Full features, collaboration tools, 5% platform fee
38.2 Billing Cycles
Subscriptions are billed monthly on the anniversary of your subscription date. Billing is recurring and automatic unless cancelled.
38.3 Payment Methods
We accept major credit cards and other payment methods as displayed during checkout. You are responsible for maintaining valid payment information.
38.4 Failed Payments
If payment fails, we may attempt to charge your payment method again. After multiple failed attempts, your subscription may be downgraded or suspended.
38.5 Price Changes
We may change subscription prices with 30 days notice. Price changes take effect at the next billing cycle. Continued use after a price change constitutes acceptance.
38.6 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
38.7 Upgrade/Downgrade
You may upgrade or downgrade your subscription at any time. Upgrades take effect immediately; downgrades take effect at the next billing cycle.
Section 39: Payments, Escrow & Payouts
39.1 Payment Processing
All payments are processed through Stripe, our third-party payment processor. By using payment features, you also agree to Stripe's terms of service.
39.2 Escrow System
For job payments, funds are held in escrow until the work is completed and approved. This protects both Creators and Freelancers by ensuring funds are available for payment and work is delivered.
39.3 Escrow Funding
Creators must fund escrow before Freelancers begin work. Unfunded contracts cannot proceed to the work phase.
39.4 Escrow Release
Escrow funds are released to the Freelancer upon: (a) Creator confirmation of satisfactory completion; (b) automatic release 7 days after Freelancer marks work complete if Creator does not dispute; or (c) dispute resolution in favor of the Freelancer.
39.5 Stripe Connect Payouts
Freelancers receive payouts through Stripe Connect. You must complete Stripe's verification requirements to receive payouts. Payout timing depends on your Stripe account settings and location.
39.6 Platform Fees
Platform fees are automatically deducted from transaction proceeds before payout. Fees vary by subscription tier: Free (15%), Pro (10%), Pro+ (7%), Team (5%).
Section 40: Taxes, Currency & Financial Compliance
40.1 Currency
All transactions are conducted in United States Dollars (USD). Currency conversion is handled by your payment provider and may incur additional fees.
40.2 Tax Responsibility
You are solely responsible for determining and paying all taxes applicable to your use of the Platform, including income tax, sales tax, VAT, or other applicable taxes.
40.3 No Tax Advice
AYe Producer does not provide tax advice. We recommend consulting a tax professional regarding your tax obligations.
40.4 Tax Reporting
For US-based users who meet IRS thresholds, we may issue 1099 forms reporting your earnings. You are responsible for providing accurate tax information and reporting all income regardless of whether you receive a 1099.
Section 41: Refunds, Chargebacks & Financial Disputes
41.1 Subscription Refunds
Subscription fees are generally non-refundable. Refund requests may be considered on a case-by-case basis for exceptional circumstances such as technical issues preventing Platform use.
41.2 Marketplace Transaction Refunds
Refunds for marketplace transactions are handled through our dispute resolution process. Refunds may be issued when the delivered content materially differs from the listing description or when required by law.
41.3 Chargebacks
If you dispute a charge with your bank or credit card company (chargeback), you agree to first attempt resolution through our customer support. Chargebacks may result in account suspension pending investigation.
41.4 Fraudulent Chargebacks
Filing a fraudulent chargeback (disputing a legitimate charge) is a violation of these Terms and may result in immediate account termination, collection action for amounts owed, and referral to appropriate authorities.
Part X: Dispute Resolution
Section 42: Escrow Dispute Process
42.1 Raising a Dispute
Either party may raise a dispute regarding an escrow transaction if they believe the other party has not fulfilled their obligations. Disputes must be raised within a reasonable time after the issue arises.
42.2 5-Day Response Window
When a dispute is raised, the other party has 5 days to respond with their position and any supporting evidence. Failure to respond may result in a decision in favor of the disputing party.
42.3 Evidence Submission
Both parties may submit evidence to support their position, including communications, work samples, contract terms, and other relevant documentation.
42.4 Auto-Escalation
If the responding party fails to respond within the 5-day window, the dispute is automatically escalated to admin review.

Section 43: Dispute Resolution Outcomes
43.1 Resolution Options
Our admin team may resolve disputes in the following ways:
- Full Payment Release: The full escrow amount is released to the Freelancer.
- Full Refund: The full escrow amount is refunded to the Creator.
- Partial Payment: The escrow amount is divided between parties based on work completed.
- Cancellation: The contract is cancelled with funds returned minus any applicable fees.
43.2 Binding Decision
Dispute resolution decisions are final and binding on both parties for purposes of Platform transactions. This does not preclude parties from seeking legal remedies outside the Platform.
43.3 Decision Timeline
We aim to resolve disputes within 10 business days of escalation. Complex disputes may require additional time.
Section 44: Binding Arbitration & Class Action Waiver
44.1 Informal Resolution
Before initiating arbitration, you agree to attempt informal resolution by contacting us. We will attempt to resolve the dispute within 30 days.
44.2 Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
44.3 Arbitration Location
Arbitration shall take place in Atlanta, Georgia, USA, or another mutually agreed location, or may be conducted remotely where permitted.
44.4 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.
44.5 Small Claims Exception
Either party may bring qualifying claims in small claims court in their jurisdiction of residence or in Atlanta, Georgia.
44.6 Governing Law
These Terms and your use of the Platform shall be governed by and construed in accordance with the laws of the State of Georgia, USA, without regard to its conflict of laws principles.
Part XII: Compliance & Legal
Section 49: DMCA & Copyright Takedowns
49.1 DMCA Compliance
We comply with the Digital Millennium Copyright Act (DMCA) and respond to valid notices of alleged copyright infringement.
49.2 Filing a Notice
To file a DMCA notice, send the following to our designated agent: identification of the copyrighted work; identification of the infringing material with sufficient detail for us to locate it; your contact information; a statement of good faith belief; a statement of accuracy under penalty of perjury; and your physical or electronic signature.
49.3 Counter-Notification
If you believe your content was wrongly removed, you may file a counter-notification including: identification of removed material; your contact information; a statement under penalty of perjury that removal was a mistake; consent to jurisdiction; and your signature.

International users are responsible for compliance with all applicable local laws regarding online conduct, content, and transactions.
53.2 Data Transfers
By using the Platform, you consent to the transfer of your data to the United States and other countries where we operate.
53.3 Language
These Terms are provided in English. In the event of any conflict between translations, the English version controls.
Part XIII: Service Operations
Section 54: Service Availability & Uptime
54.1 No Guaranteed Uptime
While we strive for high availability, we do not guarantee uninterrupted access to the Platform. Service interruptions may occur for maintenance, updates, or unforeseen issues.
54.2 Scheduled Maintenance
We may perform scheduled maintenance that temporarily limits Platform availability. When possible, we will provide advance notice.
54.3 Force Majeure
We are not liable for service interruptions caused by events beyond our reasonable control, including natural disasters, acts of war, government actions, internet outages, or pandemic-related disruptions.
Section 55: Beta Features & Experiments
55.1 Beta Availability
We may offer beta or experimental features that are still in development. These features may be unstable, incomplete, or subject to change.
55.2 No Warranties
Beta features are provided "as is" without warranty. We may modify or discontinue beta features at any time without notice.
55.3 Feedback
By using beta features, you agree that we may collect usage data and feedback to improve our services.
Section 56: Third-Party Services & Integrations

The Platform integrates with third-party services including Stripe (payments) and OpenAI (AI features). Your use of these services is subject to their respective terms.

We are not responsible for the availability, accuracy, or performance of third-party services. Third-party service failures may affect Platform functionality.
Section 57: File Uploads & Storage
57.1 Permitted Files
You may upload files in permitted formats as specified on the Platform. Uploading malware, viruses, or harmful files is prohibited.
57.2 Storage Limits
File uploads are subject to size and storage limits based on your subscription tier.
57.3 No Guaranteed Backup
While we maintain backup systems, we do not guarantee the preservation of uploaded files. You are responsible for maintaining your own backups of important content.

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that: the Platform will meet your requirements; the Platform will be uninterrupted, secure, or error-free; results obtained from the Platform will be accurate or reliable; or AI-generated content will be original, accurate, or suitable for any purpose.
Section 59: Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AYE PRODUCER AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
Our total liability for any claims arising under these Terms shall not exceed the greater of: (a) the amount you paid to AYe Producer in the 12 months preceding the claim; or (b) $100 USD.
Section 60: Indemnification
You agree to indemnify, defend, and hold harmless AYe Producer and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Platform
- Your User Content
- Your violation of these Terms
- Your violation of any rights of another party
- Any dispute between you and another User
- Any claim that your User Content infringes third-party intellectual property rights
Section 61: Force Majeure
Neither party shall be liable for any failure or delay in performing obligations under these Terms due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, pandemic, or shortages of transportation, facilities, fuel, energy, labor, or materials.
Part XV: General Provisions
Section 62: Term & Termination
62.1 Term
These Terms are effective upon your creation of an account or first use of the Platform and continue until terminated.
62.2 User Termination
You may terminate your account at any time through your account settings. Upon termination, your right to use the Platform ceases.
62.3 Platform Termination
We may terminate or suspend your account at any time, with or without cause, with or without notice. Reasons for termination include but are not limited to violation of these Terms, fraudulent activity, or inactivity.
62.4 Effect of Termination
Upon termination: your licenses to use the Platform terminate; pending transactions may be cancelled or completed at our discretion; you remain liable for any outstanding obligations; and provisions that by their nature should survive termination will survive.
62.5 Survival
The following sections survive termination: Definitions, Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and any other provisions that by their nature should survive.
Section 63: Modifications to Terms
63.1 Right to Modify
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or Platform notification at least 30 days before they take effect.
63.2 Acceptance of Changes
Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Platform and terminate your account.
Section 64: Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent.
Section 65: Waiver
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of AYe Producer.
Section 66: Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.
Section 67: Entire Agreement
These Terms, together with the Privacy Policy and any other policies or agreements incorporated by reference, constitute the entire agreement between you and AYe Producer regarding your use of the Platform. These Terms supersede all prior agreements, representations, and understandings.
