Cloudy with a Chance of Bytes

NON-DISCLOSURE AGREEMENT

Effective Date: Upon signing

This Non-Disclosure Agreement ("Agreement") is entered into between the content owner ("Disclosing Party") and the undersigned ("Receiving Party").

1. Definition of Confidential Information

"Confidential Information" means all non-public information disclosed by the Disclosing Party, including but not limited to: story concepts, plot details, character descriptions, dialogue, worldbuilding elements, and any other creative content contained within the production pack titled "Cloudy with a Chance of Bytes".

2. Obligations of Receiving Party

The Receiving Party agrees to:

• Keep all Confidential Information strictly confidential
• Not disclose, publish, or share any Confidential Information with third parties
• Not use the Confidential Information for any purpose other than evaluation for potential licensing
• Not copy, reproduce, or create derivative works based on the Confidential Information
• Take reasonable measures to protect the confidentiality of the information

3. Exceptions

This Agreement does not apply to information that:

• Is or becomes publicly available through no fault of the Receiving Party
• Was rightfully in the Receiving Party's possession prior to disclosure
• Is required to be disclosed by law or court order

4. Term

This Agreement shall remain in effect for a period of three (3) years from the date of signing, unless terminated earlier by mutual written consent.

5. Remedies

The Receiving Party acknowledges that any breach of this Agreement may cause irreparable harm to the Disclosing Party, and agrees that the Disclosing Party shall be entitled to seek injunctive relief in addition to any other legal remedies.

6. Governing Law

This Agreement shall be governed by applicable laws.
